This sounds like a very good offer, just be aware, there are not usually "contracts" with carpet cleaning, even though your friend may teach you some ropes, you will have to prove yourself to all clients. When he aquired his current clients, he sold himself and his business, you will have to do the same. What he is offering you is the first chance at his contracts.not guaranteed work..Also, a good name takes forever to get, a bad one takes no time.. Think about dividing up the assets from goodwill, you don`t pay tax on goodwill. (here in Ont. anyway)

sounds like a good deal on the equipment bad deal on the clients.

if you are decent and hard working, the clients won't care if you use a bucket and mop to clean their carpets. they care about exactly what you care about.
will this guy treat me fairly and do a decent job.

that said, I would work with him on one conditon. you show me the ropes and I buy the equipment and that's it. He needs you, but you do not need him. you can always find more equipment. maybe his is a good price but it's not a fire sale price. .what if you work real hard. harder than him and the clients love you and not him. then he gets half your gravy for what? for being there? no. I don't think so.

you're bailing him out. he don't want the old ,, he want new and he's gonna feather his nest on your sweat. don't do it.
